Millrace Energy Building the Northeast's home-energy platform

Every winter, your name is the one they trust to show up. We're building the company behind it.

Millrace Energy partners with the family-built heating oil, propane, and home-comfort companies that keep the Northeast warm — the delivery drivers, the service techs, and the owners who take the 2 a.m. no-heat call themselves. We're not here to flip what you built or strip it for parts. Whether you want to keep building with us or hand over the keys and step away, we're here to carry it forward — on a regional platform, with your name still over the door.

01Who we are

We're operators building a company of companies for Northeast home energy.

The home-energy business is full of remarkable companies almost no one outside the route ever hears about. A third-generation oil dealer whose customers have been on automatic delivery since their grandparents' time. A propane company that sets tanks and answers the phone on Christmas morning. A shop whose service plan renewals run above 90% because the same tech has tuned that same boiler for fifteen years.

These companies are built on dense routes, decades of trust, and a name that means something the moment the truck turns onto the street. They deserve a partner who understands that — not a spreadsheet that treats the customer list as a line item and the drivers as an expense.

That's why we built Millrace Energy. We're bringing these companies together into one regional platform so the next cold snap is met with deeper delivery, faster service, and the buying power no single dealer can reach alone. Some owners want to keep building and take a bigger swing with real backing behind them. Others have earned the right to step away and want to know the company — and the customers — will be looked after when they do. We're built for both, and either way the promise made to those customers gets stronger, not abandoned.

"The best companies in this business were built by people who've driven the route and taken the no-heat call. We think they should be bought by people who have too."
— The founding principle of Millrace
02What we back

We back the whole home — the fuel, the equipment, and the service behind it.

We partner with proven, profitable companies across the full home-comfort relationship: the dealers who keep the tank full, the crews who install and convert the equipment, and the techs who keep it running through the coldest week of the year. If your work keeps Northeast homes and businesses warm, we want to know you — including specialties not listed here.

03How it works together

Every company is one layer between the cold and the family inside.

No single dealer keeps a home warm alone. Delivery puts fuel in the tank, equipment turns it into heat, and service keeps it running when the temperature drops — layer by layer, the cold is held off before it ever reaches the people inside. When we bring these companies under one roof, every layer gets stronger.

COMPANIES MILLRACE BACKS ONE CUSTOMER, FOR LIFE

How to read it: winter bears down from the top, and a warm home depends on three different jobs done well — fuel in the tank, equipment that runs, and someone who answers at 2 a.m. when it doesn't. Each is a different kind of company. Millrace backs all three, so a single household stays warm — and stays a customer — for decades.

Seen another way, these companies aren't a stack — they're a circle. Each one earns the next, and all of them turn around the same center: the household on automatic delivery and an annual service plan, warm year after year.

04Our promise to owners

Three commitments we make to every owner we partner with.

Commitment 01

The role
is yours to choose

We partner to build, not to flip — and you decide how you fit into it. Stay on and share in the upside as we grow it together, phase out over a transition that suits you, or hand over the keys at close and step away clean. Because we've run this business ourselves, we can take the full weight when that's what you want — and honor everything you built when you do.

Commitment 02

Stewards
of a name

Your name on the truck means something to the customers, the drivers, and the town. We protect it. We keep the people who made the company what it is, honor the promises you've made to your accounts, and treat the reputation you built as an asset worth defending — because it is.

Commitment 03

A relationship
we won't spend

In this business, trust is earned over decades and lost in one cold night without heat. We understand a regional platform is only as strong as the reliability behind each company in it. We hold the standard you set — and back it with the resources of a growing regional footprint.

The deal we offer

A fair price, a clean process, and a promise we intend to keep: the company you spent a career building will be in better hands, serving more customers, for longer — with your name intact.

05How a partnership works

From first call to close — four steps, no surprises.

This isn't a PE auction. It's a straight conversation between operators that ends with you as a partner in something regional. Here's exactly how it goes.

01

First conversation

A confidential call — no banker required, no obligation. You tell us about what you've built. We mostly listen.

02

An honest look

We get to know the routes, the service base, and the plan renewals, and agree on a fair value. Respectful, light-touch diligence — we won't tie up your team through the heating season.

03

Structure the partnership

We build terms around you: how much you sell, whether you stay involved or step away, and the timeline — from a full handoff at close to a multi-year transition, whichever fits your life.

04

Close & grow together

You join the regional platform, plug into shared resources and buying power, and share in the upside as we build something bigger — together.

The point

Some owners join something bigger and share in what it becomes. Others take a clean exit and a real retirement. Both are right — and both leave the company, the crews, and the name in good hands.

06Founder Services

You built it. However you choose to leave it, we carry it forward.

The owners who built this business didn't do it with a corporate playbook — they did it with dense routes, relationships, and a name earned one delivery and one service call at a time. We're not here to replace that. If you want to stay and grow, we take the weight of everything that isn't the customer off your shoulders. If you're ready to step back, we take the whole operation — and keep it running the way you would have.

Stay and steer, or step away clean

Want to keep a hand in it? There's a seat at the table — help shape the standards we hold, the companies we welcome next, and the way we grow. Ready to move on? Hand over the keys and go, knowing the routes are covered, the crews are kept, and your name is protected. We've built and exited this exact business, so a clean, full transition isn't a risk we're asking you to take — it's one we've already run.

What comes with the platform
01

People & Recruiting

Sourcing and keeping the CDL drivers, service techs, and installers this work demands — with training pipelines that don't run dry in the middle of the heating season.

02

Safety, Licensing & Compliance

DOT, hazmat, propane and oil-heat certifications current, standards high, audits handled. The paperwork that protects your license, taken off your desk and done right.

03

Finance & Back Office

Billing, budget plans, payroll, and clean reporting — plus the capital to buy the next tank fleet, the next truck, and the customer list down the road.

04

Fleet, Fuel & Purchasing

Regional buying power on wholesale fuel supply, trucks, parts, equipment, and insurance — the pricing and supply security a single dealer can never get alone.

05

Growth & Business Development

New accounts, service-plan conversion, cross-selling propane and HVAC into an existing oil base, and tuck-in dealers routed to the branch best placed to serve them.

06

Technology & Systems

Dispatch, degree-day forecasting, tank telemetry, customer portals, and modern back-office tools — without a six-figure IT project or a team you have to hire and manage yourself.

07Why Millrace

We've built this exact business before. That changes how we partner.

Before Millrace, our team built and grew a Northeast heating oil and propane business from roughly $1M to $28M of EBITDA — and then handed it to its next owner in better shape than we found it. We didn't do it from a spreadsheet. We did it on the routes, in the service plans, and through the conversions, one heating season at a time.

That background isn't a marketing line. It's how we value a book of business, how we diligence a service base, and how we show up in the room. When we ask about your automatic-delivery penetration, your plan renewal rate, or your gross margin per gallon, we're asking because we've lived on the other side of those numbers.

  • 01 Operator credibilityA team that has actually built and scaled a Northeast oil-and-propane platform. We speak the language of the route and the service ticket, not just the balance sheet.
  • 02 A real platform, not a holding penShared fuel supply, regional buying power, back-office support, and capital to grow — so your company gets stronger, serves more customers, and stands taller inside Millrace, not sidelined.
  • 03 Certainty, including a clean exitWe move with purpose, keep conversations confidential, and can take the keys in full — management, dispatch, and the 2 a.m. call — so stepping away is a real option, not a bluff.
  • 04 Built to hold, built to growWe're building a durable regional home-energy company — not a short-hold trade. Your name lives inside something meant to last.
08Northeast footprint

One company, dense where it counts — wherever the Northeast gets cold.

Home energy is a route business, and routes reward density. We're building a Northeast platform — from the Maine coast to the Hudson Valley to the Alleghenies — so an owner in New England or the Mid-Atlantic can plug into regional scale: wholesale supply security, shared service capacity, and the purchasing power that comes with one well-run company behind many local dealers.

09Are we a fit?

If this sounds like your company, we should talk.

We're likely a fit if you

  • Run a healthy, profitable heating oil, propane, or home-comfort business in the Northeast
  • Have a loyal customer base, strong service-plan renewals, and a name you'd protect at any cost
  • Want your people, your name, and your standards to carry forward
  • Are ready for a transition on your terms — stay and build, phase out over time, or hand over the keys and step away entirely

What a partnership can give you

  • A fair valuation and a clean, confidential process
  • Cash at close — plus a genuine share of the upside you help create
  • Regional scale, wholesale supply security, and growth capital behind you
  • The choice to stay involved or step away clean — with a real succession plan for the people you leave behind

Not sure you fit the profile? The home-energy business is wider than any list. If you keep Northeast homes and businesses warm, reach out — the conversation is confidential and there's no obligation.

10Questions owners ask

The questions we get asked first.

Straight answers to what owners actually want to know before they pick up the phone. If yours isn't here, ask us directly — we'd rather tell you early that we're not a fit than waste your season.

What exactly does Millrace Energy do?

We partner with family-built heating oil, propane, and home-comfort companies across the Northeast and bring them onto one regional platform. Each company keeps its own name, its people, and the relationships it spent decades earning. What changes is what sits behind it: wholesale supply security, capital for trucks and tanks, back-office support, recruiting, and the systems that are hard to justify one company at a time.

Do I have to stay and run the business after we partner?

No. That is your choice, and both answers are equally welcome. Some owners want to keep building and take a bigger swing with real backing behind them. Others have earned the right to step away and want to know the company and the customers will be looked after when they do. We can take the full weight — management, dispatch, and the 2 a.m. no-heat call — because we have run this business ourselves.

What happens to my name and my crew?

The name stays over the door and the crew stays employed. Your name is the asset — it is why customers call you instead of the company one town over, and erasing it would destroy the very thing worth partnering with. Your drivers and technicians are the hardest people in the industry to hire; we are not in the business of letting them go.

What size companies do you partner with?

There is no hard floor. We work with companies from a few thousand accounts to substantially larger regional operations. What matters more than size is the quality of the customer base — automatic delivery penetration, service-plan renewals, and a reputation that holds up in the towns you serve.

Where do you focus geographically?

The Northeast — New England and the Mid-Atlantic. We build density route by route rather than planting flags across the map, because in this business route density is what drives both service quality and margin.

What does the process look like, and how long does it take?

It starts with a confidential conversation, with no bankers and no obligation. If it makes sense for both sides, we work through the numbers together and put terms in writing that are built around what you want. From first conversation to close typically runs three to five months, and we will tell you early and directly if we are not the right fit.

Can I sell part of the company and keep a share of the upside?

Yes. Many owners sell a majority for cash at close and roll a meaningful stake forward, so they share in what the wider platform becomes. Others prefer a clean full sale. We build the structure around your goals rather than forcing one template.

What happens to my customers' service plans and pricing?

Existing plans and prepaid arrangements are honored. Customers should experience continuity — the same trucks, the same technicians, the same phone number — with better response times and equipment availability behind the scenes as the platform grows.

Do you actually have experience running these businesses?

Yes. Our team built and grew a Northeast heating oil and propane business from $1M to $28M of EBITDA and handed it on in stronger shape than we found it. We have priced routes, fought through cold snaps, and taken the 2 a.m. call. That operating history is why we can take the keys in full when an owner wants to step away.

What about my tanks, trucks, and equipment leases?

They are part of the diligence and we handle them as a matter of course — tank programs, customer-owned versus company-owned equipment, vehicle fleets, and lease obligations. Aging assets do not disqualify a company; capital for replacement is one of the concrete things the platform brings.

Is Millrace Energy the same as Millrace Asset Group?

No. Millrace Energy is an independent company and is not affiliated with Millrace Asset Group, an investment management firm, or with any other business that shares the Millrace name. We are a Northeast home-energy platform.

How do I start a confidential conversation?
